Terms and Conditions

Purpose:

This document constitutes a standard-form agreement for the use of the website https://haciendasanjoselavista.com (hereinafter, the “Website” and/or “Web Page”), entered into by and between, on the one hand, Viñedos San Jose Lavista S.A. de C.V. and Bodegas San Jose Lavista S.A. de C.V. (hereinafter, Hacienda San Jose Lavista), as the responsible party, and, on the other hand, the User, both parties being subject to the provisions of this document.

Acceptance of the terms and conditions:

By entering and using this Internet portal, identified by the domain name https://haciendasanjoselavista.com and owned by Hacienda San Jose Lavista, the User accepts the Terms and Conditions of Use contained in this agreement and expressly declares their acceptance through electronic means, pursuant to Article 1803 and other applicable provisions of the Federal Civil Code.

For the purposes of this agreement, the parties agree that “User” shall mean any person or entity that accesses the website https://haciendasanjoselavista.com and/or any of the subpages displaying its content, and/or any person or entity that registers for and/or uses any of the services offered through said page.

If the User does not fully and unconditionally accept the Terms and Conditions of this agreement, the User must refrain from accessing, using, or viewing the Website and/or any other service offered by Hacienda San Jose Lavista.

If the User accesses, uses, or views the Website, this shall be deemed full and express acceptance of the Terms and Conditions of Use set forth herein, the other documents incorporated herein by reference, and the applicable laws and regulations in force governing use of the Website.

Hacienda San Jose Lavista will not retain an individualized copy of this agreement entered into between the User and the Company. The User is therefore advised to retain a copy of these Terms and Conditions of Use for their own records.

If the User breaches any provision of these Terms and Conditions of Use, Hacienda San Jose Lavista may terminate the User’s access, exclude the User from future transactions, and/or take any legal action it deems appropriate to protect its interests.

The User and Hacienda San Jose Lavista agree that:

• To use the Web Page, the User must be at least 18 years of age or access it under the supervision of a parent or legal guardian.
• Hacienda San Jose Lavista grants a non-transferable and revocable license to use the Website pursuant to the Terms and Conditions of Use described herein, for the purpose of purchasing personal items sold on it. • Hacienda San Jose Lavista reserves the right to block access to or partially or entirely remove any information, communication, or material that, in its sole judgment, may be: i) abusive, defamatory, or obscene; ii) fraudulent, deceptive, or misleading; iii) in violation of copyrights, trademarks, confidentiality, trade secrets, or any intellectual property right of a third party; iv) offensive; or v) otherwise contrary to the provisions of this agreement.
• Hacienda San Jose Lavista does not represent that the content of its Web Page may lawfully be viewed outside the United Mexican States. Access to the content may not be lawful for certain persons or in certain countries. If the User accesses the content from outside the United Mexican States, the User does so at their own risk and is responsible for compliance with the laws of the jurisdiction in which the User is located.
• Users are prohibited from violating or attempting to violate the security of the Website and the websites affiliated with Hacienda San Jose Lavista. Users are prohibited from: (a) accessing data they are not authorized to use or logging into a server or account for which they do not have authorized access; (b) attempting to examine, scan, or test the vulnerability of a computer system or network, or breach security or authentication measures without proper authorization; (c) attempting to interfere with the use of any other User, hosting service, or network, including, without limitation, transmitting a virus to the Website or websites affiliated with Hacienda San Jose Lavista; overloading such websites through flooding, spamming, mailbombing, or crashing; (d) sending unsolicited emails, including promotions and/or advertising for products or services; or (e) forging any TCP/IP packet header or any part of the header information in any email or newsgroup posting.
• The User acknowledges that violations of computer systems or network security may result in civil or criminal liability. Hacienda San Jose Lavista will investigate situations that may involve such violations and reserves the right to report such actions to the authorities. The Company will cooperate with the competent authority in investigating such violations in accordance with applicable law.
• To properly access the Website, Users must have the equipment and facilities necessary for their Internet connection (computer, telephone, modem, software, etc.), and the use of such equipment is entirely their responsibility.
• Hacienda San Jose Lavista is exempt from any liability arising from interruptions or suspensions of Internet access service caused by failures in telecommunications systems, electrical power supply, acts of God or force majeure, or actions by third parties that may disable the equipment providing network access.
• Accordingly, Hacienda San Jose Lavista shall not be liable for any damage, loss, or harm suffered by the User due to failures in the system, server, or Internet. The Company shall also not be liable for any virus that may infect the User’s equipment as a result of accessing, using, or examining the Website, or from any transfer of data, files, images, text, or audio contained therein. Users may NOT attribute any liability to the Company or demand payment of damages due to technical difficulties or failures in systems or on the Internet. Hacienda San Jose Lavista does not guarantee continuous or uninterrupted access to or use of the Website. The system may occasionally be unavailable due to technical difficulties, Internet failures, or any other circumstance beyond the Company’s control. In such cases, efforts will be made to restore service as quickly as possible, without any liability being attributed to the Company. Hacienda San Jose Lavista shall not be liable for any errors or omissions contained on the Website.

Industrial property, intellectual property, and copyright:

Hacienda San Jose Lavista acknowledges that it is the sole owner of all registered or unregistered intellectual property rights in the website tienda.haciendasanjoselavista.com, including, without limitation: projects, software, source code, graphics, photographs, videos, images, music, sound, text, logos, trademarks, domain names, trade names, and data included on the Web Page tienda.haciendasanjoselavista.com. All content on our page is also protected by copyright as a collective work under Mexican copyright laws and international conventions. All rights reserved.

Users are advised that such rights are protected by applicable Mexican and international laws relating to intellectual and industrial property and copyright.

The copying, reproduction, adaptation, modification, distribution, commercialization, licensing, transmission, disclosure, public communication, and/or any other action that infringes applicable Mexican or international intellectual and/or industrial property laws is prohibited, as is the use of Website content without the prior express written authorization of Hacienda San Jose Lavista.

If the User transmits to Hacienda San Jose Lavista any information, programs, applications, software, or any other material requiring a license through the Website tienda.haciendasanjoselavista.com, the User hereby grants Hacienda San Jose Lavista a perpetual, universal, free-of-charge, non-exclusive, worldwide, royalty-free license, including the rights to sublicense, sell, reproduce, distribute, transmit, create derivative works from, publicly display, and publicly perform such material.

The foregoing shall also apply to any other information sent or transmitted by the User to Hacienda San Jose Lavista, including, without limitation, questions, criticism, comments, and suggestions to update or improve the Website, whether included in any area of the indicated page or sent by any other means or method of transmission currently known or developed in the future. In addition, when the User submits comments or reviews to the website, the User also grants Hacienda San Jose Lavista the right to use the name submitted by the User in connection with such review, comment, or other content.

Accordingly, the User expressly waives the right to bring any action, lawsuit, or claim against Hacienda San Jose Lavista, its affiliates, or suppliers for any current or potential infringement of copyright or intellectual property rights arising from the information, programs, applications, software, ideas, and other material submitted by the User to the website tienda.haciendasanjoselavista.com.

If the User believes that any content published on the Website infringes intellectual or industrial property rights, the User may submit a notice by contacting the Hacienda San Jose Lavista Customer Service Center. The User must provide: i) truthful personal details (name, address, telephone number, and email address of the claimant); ii) a handwritten signature together with the personal details of the holder of the intellectual property rights; iii) precise and complete identification of the content protected by the allegedly infringed intellectual property rights, as well as the location of the alleged infringements on the referenced website; iv) an express and clear statement that the indicated content was introduced without the consent of the holder of the allegedly infringed intellectual property rights; and v) an express and clear statement, made under the claimant’s responsibility, that the information provided in the notice is accurate and that the introduction of the content constitutes an infringement of such rights.

Advertising material:

The User acknowledges and agrees that certain parts of the Website may contain information, images, advertisements, and other advertising or promotional material from third-party sponsors and advertisers (hereinafter, “Advertising Material”). Advertisers and sponsors are responsible for ensuring that the Advertising Material submitted for inclusion on the Website complies with applicable laws and regulatory codes. Hacienda San Jose Lavista is not responsible for any error or inaccuracy in advertising materials.

The User also acknowledges and agrees that such Advertising Material is protected by applicable intellectual and industrial property laws.

Warranty for purchased products:

Hacienda San Jose Lavista acts as a distributor for manufacturers or wholesale distributors that warrant that the products sold on the website tienda.haciendasanjoselavista.com function properly and are free from defects or hidden flaws that could make them dangerous or unsuitable for normal use. Notwithstanding the foregoing, each User’s use of the products is their sole responsibility, with no liability whatsoever on the part of Hacienda San Jose Lavista.

The duration of the contractual warranty is clearly specified on the product page for each item and is issued and supported by the manufacturer or supplier of each product.

No User may request a warranty broader than the one indicated there. In such cases, Hacienda San Jose Lavista shall not be required to honor such warranties or collect the damaged product or products.

The warranty shall become void in the event of defects or deterioration caused by external factors, accidents, particularly electrical accidents, wear and tear, improper use, or installation and use not in accordance with the supplier’s or manufacturer’s instructions.

Products transported, modified, or repaired by the User or any person not authorized by Hacienda San Jose Lavista are excluded from the warranty. The warranty shall not apply to apparent defects or product nonconformities, for which any claim must be submitted by the User within seven (7) calendar days following delivery of the products.

Product information:

The information provided about each product, as well as related photographs or videos and any trade names, trademarks, or distinctive signs of any kind contained on the Hacienda San Jose Lavista Website, is provided solely for guidance. Hacienda San Jose Lavista is not responsible for any error or inaccuracy in product information.

Credits and promotions:

Hacienda San Jose Lavista will inform Users subscribed to the newsletter, by email, of all future promotions and opportunities, together with their respective dates and conditions.

Promotions will have specific terms and conditions, and Users interested in participating shall be responsible for reading and understanding those terms and conditions.

Hacienda San Jose Lavista coupons may not be combined with other coupons from the same store.

Credits generated through Hacienda San Jose Lavista promotional activities (coupons, etc.) may be redeemed exclusively for physical products sold on the Web Page tienda.haciendasanjoselavista.com. Credits may not be exchanged for other credits.

Purchase of products:

To purchase products, the User must pay for the selected products, taxes, and applicable shipping costs through the payment service providers made available by Hacienda San Jose Lavista on the Website. The User may only purchase products through the Website for delivery to an address within the territory of the United Mexican States.

Once the User has completed the purchase, thereby implicitly accepting the Terms and Conditions of Use, Hacienda San Jose Lavista will send the User an email containing the details of the purchase.

Payment

Payment for products purchased on the Website may be made using any payment method offered by the Website, including, among others: credit card, debit card, and payment at OXXO. The list of available payment methods may be modified at any time without prior notice to Users.

Payment by credit card or any other online payment method must be made through the Website.

The order number assigned when a transaction is carried out on the Website does not imply acceptance of the transaction. If there is any issue with the order, the User will be contacted by email or telephone.

Hacienda San Jose Lavista will send purchase confirmation by email. Products will only be released for delivery to the address indicated by the User after payment has been confirmed.

Hacienda San Jose Lavista reserves the right to request official documents from customers as a means of validating the process of purchasing products through the Website.

If the corresponding banking institution disputes or refuses to recognize charges made by the User by credit card arising from transactions carried out on the Website, Hacienda San Jose Lavista reserves the right to initiate the appropriate legal proceedings and establish criminal, civil, or other liability as applicable, as well as to take any internal action, ranging from charging the User’s credit card again to permanently terminating the User’s access to the Website, without requiring the User’s prior authorization.

Order acceptance and prices

All product prices displayed through the Website include VAT and any other applicable taxes. However, these prices do not include product shipping costs, which will be itemized separately in each order and must be accepted and paid by the User before shipment.

The User should be aware that an order may be unable to be processed for various reasons. Accordingly, Hacienda San Jose Lavista reserves the right to reject or cancel any order for any reason and at any time. The User may also be asked to provide additional information, including before the order is accepted.

Hacienda San Jose Lavista will provide Users with the most accurate pricing information possible. Nevertheless, errors may still occur, such as when the price of an item is displayed incorrectly on the Web Page. In such cases, the Company reserves the right to reject or cancel any order. If the price of an item is incorrect, Hacienda San Jose Lavista may, at its discretion, contact the User to request instructions or cancel the order and notify the User of such cancellation. Hacienda San Jose Lavista shall have the right to cancel such orders regardless of whether the order has been confirmed and paid for.

Product availability

All products offered on the Website are subject to stock and availability. Delivery times may therefore vary upon prior notice from us, or the order may even be canceled and the User’s charges refunded.

If the proposed delivery time is not fully satisfactory to the User, the User may request cancellation of the order.

Product shipping costs

Hacienda San Jose Lavista will ship products purchased by the User to the address specified by the User for this purpose, provided that the address is located within the delivery area communicated by Hacienda San Jose Lavista.

The delivery period begins once payment has been confirmed by the bank, online payment platform, or Hacienda San Jose Lavista Credit Department.

Products will be shipped and delivered to the User by third parties (hereinafter, “Shipping Companies”). Accordingly, the User agrees that the shipment and delivery of products shall be subject to the delivery policies of the Shipping Companies, which are incorporated by reference into these Terms and Conditions of Use.

The delivery period stated on the Website is an estimate. It may therefore change due to logistics or force majeure. If any unforeseen event or force majeure delays delivery of products purchased on the Website, Hacienda San Jose Lavista shall at all times be exempt from any liability.

If the User has not received the products within the period stated by Hacienda San Jose Lavista, the User must contact the Company through the customer service center.

The shipping cost will be added to the value of the purchased goods and will be calculated and disclosed to the User before the purchase is confirmed. Shipping costs may depend on factors such as the total weight of the goods, distance, and delivery method, and may be modified by Hacienda San Jose Lavista at any time without the User’s prior authorization.

At the time of delivery, the person receiving the goods will be asked to present an official form of identification (voter identification card, passport, FM2 immigration form, or driver’s license). This document must therefore be available when the purchase is delivered.

Hacienda San Jose Lavista recommends that the User verify the integrity and quality of the products received at the time of delivery. If the User is not satisfied with the products, the User is requested not to accept delivery from the Shipping Company and to immediately contact the Hacienda San Jose Lavista customer service center.

Cancellation of product purchases

The User may cancel a purchase of Products made through the Website, provided that the purchased Products have not left the offices of Hacienda San Jose Lavista. If the Products have already been shipped by Hacienda San Jose Lavista, the User may not cancel the purchase and must follow the procedure set forth in the “Returns” section of these Terms and Conditions. The User may check the status of the purchase through the My Orders section of the User Account or by contacting the Hacienda San Jose Lavista customer service center. If the User cancels the purchase, the amount paid by the User will be refunded in accordance with the “Refunds” section of these Terms and Conditions.

RETURNS

Return Conditions:

The User may return products purchased through the Website, provided that:

1. The return is requested within seven (7) calendar days following the delivery date or, exclusively in the case of defective products, within the warranty period specified for the purchased products.
2. The product or products are in the same condition in which they were delivered to the User and, to the extent possible, remain in their original packaging and labeling, or alternatively in similar packaging that ensures they are returned in perfect condition.

Return Process:

The process for returning Products shall be as follows:

1. The User must contact the Hacienda San Jose Lavista customer service center within the established period, requesting the return of the products and providing their first and last name, order number, names of the products to be returned, and the address from which the products will be collected. If the return is due to the product or products being defective or different from those purchased through the Website, the User must also state that circumstance and, where applicable, describe the defects in the products (hereinafter, the “Return Request”).
2. Once the Return Request has been approved, Hacienda San Jose Lavista may send the User a shipping label through the corresponding Shipping Company and schedule the date on which the Shipping Company will collect the products from the address provided by the User.
3. Where applicable, the User must package the product in its original box or packaging, print and hand over the shipping label, and deliver the Products in their original packaging or box to the Shipping Company on the scheduled date.

Refunds

If payment was made by debit or credit card, the refund will be processed as a chargeback to the same card used for payment. If payment was made by another method, the refund will be made by bank transfer to the User’s account.

The User will be refunded the cost of the returned products plus the shipping cost paid by the User for those products.

Hacienda San Jose Lavista shall not be responsible for any expenses arising from returns made without following the steps established in the procedure described in the “Returns” section.

Refund period in the event of cancellation

If the User cancels a purchase in accordance with the “Cancellation of product purchases” section of these Terms and Conditions, Hacienda San Jose Lavista must process a refund to the User for the full amount paid by the User within seven (7) calendar days from the date on which the purchase was canceled.

Refund period in the event of a return

Once the products returned by the User have been received, Hacienda San Jose Lavista will inspect them.

If the products received by Hacienda San Jose Lavista meet the requirements established in item 2 of the “Return Conditions” section, the Company shall refund the amount paid by the User within seven (7) calendar days from the date on which Hacienda San Jose Lavista received the returned products.

User responsibility in relation to transactions

The User assumes responsibility for all costs, fees, taxes, and claims arising from use of this Website. The login details provided to the User for their profile are intended exclusively for personal use and must be treated as confidential. The User must change their passwords regularly. All transactions carried out through the profile account shall be attributed to the relevant profile account holder and shall be binding.

The User shall be fully liable, without limitation, for any direct or indirect damage, as well as consequential damage, caused by gross negligence or unlawful intent.

Invoicing policies

The User must submit an invoicing request to the Company’s customer service center within 24 hours of the purchase. Invoice requests for purchases submitted outside this period will not be processed.

When requesting an invoice, the User must have available and provide the following tax information:

• RFC including homoclave
• Full name or corporate name
• Full tax address, including street, neighborhood, borough or municipality, state, and postal code
• Payment method used (cash, electronic funds transfer, personal checks, debit cards, credit cards, service cards, or electronic wallets authorized by the Tax Administration Service)
• At least the last four digits of the payment account
• Email address to which the invoice will be sent
• Once the corresponding invoice has been issued, *Trade Name* may not reissue or issue subsequent invoices.

Restrictions concerning minors

Hacienda San Jose Lavista does not intentionally sell to minors. Parents and guardians are therefore advised to personally carry out product purchases or Website registration activities.

Parents or guardians of minors shall be responsible for the acts carried out by such minors pursuant to these Terms and Conditions of Use, including damage caused to third parties and actions performed by them that are prohibited by law or by the provisions of this agreement, without prejudice to the User’s liability where the User is not the parent or legal representative of the minor offender.

Liability

The User hereby agrees to indemnify, defend, and hold harmless Hacienda San Jose Lavista and its subsidiaries, parent company, shareholders, directors, employees, officers, board members, and agents from and against any and all actions, proceedings, liabilities, lawsuits, claims, losses, obligations, damages, costs, expenses, and legal fees, including attorneys’ and external advisers’ fees and costs, arising from or related to the User’s violation of: (i) these Terms and Conditions and/or (ii) any applicable laws, rules, decrees, or regulations.

Hacienda San Jose Lavista reserves the right to assume the defense and control of any matter or claim involving or potentially involving payment of compensation associated with any breach by the User. The User agrees to cooperate with Hacienda San Jose Lavista in developing the appropriate defenses.

Modifications to the website wwwhaciendasanjoselavista.com

Hacienda San Jose Lavista may, at any time and whenever it deems appropriate, without notifying the User, make corrections, additions, improvements, or modifications to the content, presentation, information, services, areas, databases, and other elements of said website, without giving rise to any right to claim or compensation and without implying any acknowledgment of liability in favor of the User.

Term, termination, and amendment of the terms and conditions of use

The Company and the User acknowledge that the Terms and Conditions are of indefinite duration and shall take effect upon publication on the Website.

Hacienda San Jose Lavista reserves the right to amend this document without prior notice. Hacienda San Jose Lavista therefore recommends that the User reread this document regularly to remain informed of any changes. Amendments to the agreement shall take effect immediately upon publication on the Website. Once amendments have been made, any User who continues to use the Website shall be presumed to have full knowledge of, to have read, and to have consented to the amended Terms and Conditions. If the User does not accept the amended Terms and Conditions, the User must stop using the Website.

Hacienda San Jose Lavista may at any time suspend access to the Website and/or terminate these Terms and Conditions. Termination of these Terms and Conditions shall under no circumstances require Hacienda San Jose Lavista to compensate the User.

Survival

These Terms and Conditions of Use, together with any additional terms, constitute the entire agreement between the parties and supersede any prior agreement or contract. Any clause or provision of this agreement or of the additional terms that is legally declared invalid shall be removed or amended, at the discretion of Hacienda San Jose Lavista, in order to correct its defect. The remaining clauses and provisions shall nevertheless remain in full force, binding effect, and validity.

Additional terms

From time to time, Hacienda San Jose Lavista may review, update, and/or add provisions to the Terms and Conditions of Use of this agreement relating to specific areas or new services provided on or through the Website tienda.haciendasanjoselavista.com. Such provisions will be published in the relevant specific areas or new services of the website for review and acceptance. The User acknowledges and agrees that such additional terms form an integral part of this agreement for all applicable legal purposes.

Applicable law and jurisdiction

These Terms and Conditions of Use shall be interpreted and governed by the laws in force in Mexico, Federal District, excluding application of the United Nations Convention on Contracts for the International Sale of Goods.

Assignment of rights

The rights granted to the User shall be considered personal rights, and the User may not assign or transfer them or authorize any third party to use them in any manner. Hacienda San Jose Lavista may assign all or part of its rights and/or obligations to any third party, subsidiary, or parent company of Hacienda San Jose Lavista without the User’s prior authorization. As a result of such assignment, Hacienda San Jose Lavista shall be released from any obligation owed to the User under this agreement.

No waiver of rights

Any failure by Hacienda San Jose Lavista, its affiliates, or suppliers to exercise any right or action arising from this agreement shall under no circumstances be interpreted as a waiver of such rights or actions.

Indemnification

The User agrees to indemnify Hacienda San Jose Lavista, its affiliates, suppliers, sellers, and advisers against any action, lawsuit, or claim (including attorneys’ fees and court costs) arising from any breach by the User of this agreement, including, without limitation, any claim arising from:

1. Any matter relating to use of the website tienda.haciendasanjoselavista.com.
2. Information contained or available on or through said Website, or insults, defamation, or any other conduct by the User in using the Web Page that violates this agreement.
3. Violation of applicable laws or international treaties relating to copyright or intellectual property rights in content contained or available on or through said Website.

Other provisions

If any provision set forth in these Terms and Conditions is unlawful, void, or unenforceable in any jurisdiction, this shall not affect: (i) the legality, validity, or enforceability in that jurisdiction of any other provision of this agreement; or (ii) the legality, validity, or enforceability in any other jurisdiction of that or any other provision of this agreement.

Hacienda San Jose Lavista may choose not to exercise any of the rights and powers granted in this document. This shall not under any circumstances imply a waiver thereof, except where expressly acknowledged by Hacienda San Jose Lavista or where the corresponding action has become time-barred.
